Terms of Service

1. Who we are and what these terms cover

These Terms of Service ("Terms") are a binding legal agreement between you and Atominic Technologies, a sole proprietorship having its principal place of business at Gurugram, Haryana, India ("Podium", "we", "us", "our"), which operates the Podium platform and related websites, applications, and services (collectively, the "Service").

The Service is a software platform that enables educational institutes, coaching centres, schools, organisations, and individuals ("Organisers") to create, schedule, host, and manage online quizzes, competitions, assessments, and similar events ("Competitions"), and enables invited individuals ("Participants") to register for and take part in those Competitions.

By accessing or using the Service, creating an account, purchasing any plan, or participating in any Competition, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, each incorporated here by reference. If you do not agree, do not use the Service.

2. Definitions

  • "Organiser" — any institute, organisation, business, or person that uses the Service to create or run Competitions and is the paying customer.
  • "Participant" — any person who registers for or takes part in a Competition, including students and minors.
  • "User", "you" — any Organiser, Participant, or other person who accesses the Service.
  • "Content" — any questions, text, images, media, branding, logos, data, or material uploaded, created, generated, or submitted through the Service.
  • "Fees" — amounts payable by an Organiser for plans, credits, competitions, add-ons, or other paid features.

3. Eligibility and accounts

3.1 To register as an Organiser you must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872, and you must have authority to bind the organisation you represent.

3.2 Participants who are minors may only use the Service through and with the consent and supervision of a parent, legal guardian, or the Organiser acting under appropriate authority. See Section 11 (Children) and our Privacy Policy.

3.3 You are responsible for the accuracy of all registration information, for maintaining the confidentiality of your account credentials and any access codes, and for all activity under your account or access credentials. You must notify us immediately of any unauthorised use. We are not liable for any loss arising from your failure to safeguard credentials.

4. The Service, and what it is not

4.1 Podium provides the software tooling to run Competitions. The Organiser — not Podium — is solely responsible for each Competition it creates, including its content, questions, answer keys, accuracy, fairness, rules, eligibility, conduct, scoring decisions, prizes, results, certificates issued, communications with Participants, and compliance with all laws applicable to that Competition.

4.2 Podium is a neutral technology platform. We do not author, endorse, verify, or take responsibility for any Competition, its Content, its results, or any representation an Organiser makes to Participants. Any dispute regarding a Competition is between the Organiser and its Participants; Podium is not a party to it.

4.3 The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from delay, and we do not guarantee any specific result, uptime, performance, or outcome, except as expressly and separately agreed in writing.

5. Organiser obligations and responsibilities

You, as an Organiser, represent, warrant, and agree that you will:

  1. use the Service only for lawful purposes and in compliance with all applicable laws, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023 ("DPDP Act"), and all rules made under them;
  2. obtain and maintain all necessary consents from Participants (and, for minors, from their parents/guardians) for the collection and processing of their personal data in connection with your Competition, and act as the entity responsible for that data in your relationship with your Participants;
  3. ensure all Content you upload or create is accurate, lawful, non-infringing, not defamatory, not obscene, and not harmful, and that you own or are licensed to use it;
  4. be solely responsible for the conduct of your Competition, the correctness of questions and answer keys, the integrity of scoring and ranking, the handling of disqualifications, and the issuance and accuracy of any certificate, badge, prize, or result;
  5. not misrepresent your association with Podium, and use Podium's name, marks, or "Powered by" attributions only as the Service permits for your branding tier;
  6. be responsible for collecting, handling, refunding, and accounting for any fees, charges, or payments you may collect from your own Participants — Podium is not party to and bears no responsibility for any money you collect from Participants;
  7. indemnify Podium as set out in Section 13.

6. Acceptable use

You must not, and must not permit any person to:

  1. use the Service to host content or conduct that is unlawful, fraudulent, infringing, defamatory, obscene, abusive, or that sexualises, endangers, or harms minors;
  2. attempt to gain unauthorised access to the Service, other accounts, other Organisers' data, or our systems; probe, scan, or test vulnerabilities; or breach security or authentication;
  3. introduce malware, conduct denial-of-service attacks, scrape, or place unreasonable load on the Service;
  4. reverse engineer, decompile, copy, resell, sublicense, or create derivative works of the Service except as permitted by law;
  5. use the Service to send spam or unlawful communications, or to harvest data unlawfully;
  6. circumvent usage limits, participant caps, access controls, or paywalls.

We may suspend or terminate access immediately, without refund, for any breach of this Section.

7. Fees, plans, and payment

7.1 Access to paid features requires payment of Fees as described at purchase. Fees, plans, capacities, and add-on pricing are as displayed at the time of purchase and may change prospectively.

7.2 All Fees are payable in advance and are processed through third-party payment processors. By paying, you authorise us and our processors to charge the applicable amount. You are responsible for all applicable taxes (including GST) unless stated otherwise.

7.3 Except as set out in our Refund Policy, all Fees are non-refundable. Where a refund is due under the Refund Policy, our maximum liability is strictly limited as stated there and in Section 12.

7.4 We may suspend the Service or a Competition for non-payment, chargeback, or payment failure.

8. Intellectual property

8.1 The Service, including all software, design, text, graphics, the Podium name and marks, and all underlying technology, is owned by or licensed to Podium and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during your subscription, subject to these Terms.

8.2 You retain ownership of Content you upload. You grant Podium a worldwide, royalty-free licence to host, store, process, display, and transmit your Content solely to provide and operate the Service. You are responsible for keeping your own copies; we are not a backup service.

8.3 You may not use our name, logo, or marks except as expressly permitted for your branding tier.

9. Third-party services and dependencies

The Service relies on third-party infrastructure, payment gateways, communication providers, and networks. We are not responsible for failures, delays, outages, charges, or losses caused by third parties, by your or a Participant's device, browser, or internet connection, or by events outside our reasonable control.

10. Suspension, termination, and effect

10.1 We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create legal or security risk, or use the Service unlawfully.

10.2 You may stop using the Service at any time. Termination does not entitle you to any refund except as expressly provided in the Refund Policy.

10.3 On termination, your licence ends and we may delete your Content and data after a reasonable period, subject to our Privacy Policy and applicable law. Sections that by their nature should survive (including 4.3, 5, 8, 12, 13, 14, 15) survive termination.

11. Children and Participants who are minors

11.1 The Service is frequently used to run Competitions involving minors. Where a Competition involves Participants who are minors, the Organiser is responsible for obtaining verifiable consent from the parent or legal guardian of each minor for that minor's participation and the processing of their personal data, as required by the DPDP Act and applicable law.

11.2 Podium does not knowingly collect personal data directly from minors except as provided to us by an Organiser for the purpose of running a Competition, and processes such data only as a service provider to the Organiser. We do not use minors' data for tracking, behavioural monitoring, or targeted advertising.

11.3 Parents/guardians may exercise rights over a minor's data as described in the Privacy Policy.

12. Disclaimers and limitation of liability

Please read this Section carefully. It limits our liability to you.

12.1 No warranties. To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant uninterrupted, secure, or error-free operation, or any particular result.

12.2 Exclusion of indirect losses. To the maximum extent permitted by law, Podium shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, goodwill, reputation, data, opportunity, or anticipated savings, however arising, even if advised of the possibility.

12.3 Cap on liability. To the maximum extent permitted by law, Podium's total aggregate liability to an Organiser arising out of or in connection with the Service or a Competition — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the total Fees actually received and retained by Podium from that Organiser for the specific Competition or event giving rise to the claim. Where no Fee was received for the relevant event, our aggregate liability shall not exceed INR 1,000.

12.4 What this Section does not exclude. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any statutory liability that by law cannot be limited. Nothing in these Terms removes any non-waivable right a consumer has under the Consumer Protection Act, 2019, or any mandatory refund right under applicable Reserve Bank of India directions for failed payment transactions.

12.5 Allocation of risk. You acknowledge that the Fees reflect this allocation of risk, and that these limitations are a fundamental basis of the agreement between us.

13. Indemnity

You agree to defend, indemnify, and hold harmless Podium, Atominic Technologies, and its proprietor, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) any Competition you create or run; (c) your Content; (d) your breach of these Terms or of any law; (e) your handling of, or any dispute with, your Participants, including any money you collect from them and any data you process about them; and (f) your infringement of any third party's rights.

14. Governing law and dispute resolution

14.1 These Terms are governed by and construed in accordance with the laws of India.

14.2 Subject to Section 14.3, the courts at Gurugram, Haryana, India shall have exclusive jurisdiction, and you consent to that jurisdiction and venue.

14.3 The parties shall first attempt to resolve any dispute amicably. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Gurugram, Haryana, conducted in English. This Section does not prevent either party from seeking urgent interim relief from a court, and does not override any non-waivable consumer remedy.

15. General

15.1 Changes. We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a new effective date or by reasonable notice. Continued use after changes constitutes acceptance.

15.2 Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including outages, network failures, acts of God, government action, or third-party failures.

15.3 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a reorganisation or transfer of the business.

15.4 Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary.

15.5 Waiver. Our failure to enforce a provision is not a waiver of it.

15.6 Entire agreement. These Terms, with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service.
